Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Subnomic website, products and services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
1. Accounts
You must provide accurate information when creating an account and are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
2. Acceptable use
You agree not to:
- Use the Services to access systems you are not authorized to access;
- Violate any applicable law or the rights of others;
- Interfere with or disrupt the integrity or performance of the Services;
- Reverse engineer or attempt to extract source code except where permitted by law;
- Resell or provide the Services to third parties except as expressly permitted.
3. Subscriptions, billing & trials
Paid plans are billed in advance on a recurring basis (monthly or annually) per host or as otherwise described at checkout. Fees are non-refundable except as required by law. We may change pricing with prior notice effective at your next renewal. You may cancel at any time; cancellation takes effect at the end of the current billing period.
4. Customer data
You retain all rights to data you submit to or generate through the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Services. Our processing of personal data is described in our Privacy Policy and, where applicable, our Data Processing Agreement.
5. Service availability
We strive to keep the Services available and publish operational status on our Status page. Except where an SLA is agreed in writing, the Services are provided on an "as available" basis.
6. Intellectual property
The Services, including all software, designs and documentation, are owned by Subnomic and its licensors and are protected by intellectual property laws. These Terms do not grant you any rights except as expressly stated.
7. Warranties & disclaimers
Except as expressly provided, the Services are provided "as is" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, Subnomic will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenues. Our aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us in the twelve months preceding the claim.
9. Termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if required to protect the Services or other users. Upon termination, your right to use the Services ends and we may delete Customer Data after a reasonable retention period.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Services or by email, and continued use after the effective date constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which Subnomic is established, without regard to conflict-of-laws principles. The specific governing law and venue are set out in your order form or in our Imprint.
